1. Acceptance of Terms

By accessing or using FriendlySpy ("Service"), operated by Vesper Infotech Pvt. Ltd. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

FriendlySpy is an AI-powered competitor ad analysis tool that helps marketers analyze Meta (Facebook/Instagram) advertisements. Our Service:

  • Analyzes publicly available ads from Meta Ad Library
  • Generates creative scorecards and insights using artificial intelligence
  • Provides ad copy ideas and recommendations based on competitor analysis
  • Delivers reports via email in PDF format

3. User Accounts

To access certain features of our Service, you may need to create an account. You agree to:

  • Provide accurate and complete information when creating your account
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Usage Limits and Fair Use

Our Service operates on a freemium model with the following usage limits:

  • Anonymous Users: Up to 10 reports per month (IP-based tracking)
  • Registered Users: Up to 25 reports per month

Usage limits reset on the 1st of each month. Attempting to circumvent these limits through multiple accounts, IP manipulation, or other means is prohibited and may result in account termination.

5. Acceptable Use

You agree to use our Service only for lawful purposes. You may NOT use FriendlySpy to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe on intellectual property rights of others
  • Engage in any form of harassment, abuse, or harm
  • Attempt to reverse-engineer, decompile, or extract source code from our Service
  • Use automated scripts, bots, or scrapers to access our Service
  • Resell, redistribute, or commercialize our reports without permission
  • Submit URLs that do not belong to Meta Ad Library
  • Overwhelm our systems with excessive requests

6. Intellectual Property

Our Content: The Service, including its design, features, branding, and original content, is owned by Vesper Infotech Pvt. Ltd. and protected by intellectual property laws. You may not copy, modify, or distribute our proprietary content without written permission.

Your Content: You retain ownership of the URLs you submit and the data you provide. By using our Service, you grant us a limited license to process this data solely to provide you with analysis reports.

Generated Reports: Reports generated by FriendlySpy are for your personal or internal business use. You may share reports with colleagues or clients, but may not resell them as a standalone commercial product.

7. Third-Party Data and Meta Ad Library

Important: FriendlySpy analyzes publicly available data from Meta's Ad Library. We are not affiliated with, endorsed by, or partnered with Meta Platforms, Inc. The ads analyzed belong to their respective advertisers.

You acknowledge that:

  • We access only publicly available ad data that Meta makes accessible through their Ad Library
  • The accuracy of our analysis depends on the quality and availability of source data
  • Ad content, strategies, and performance data belong to the original advertisers
  • You will use insights responsibly and ethically in your own marketing efforts

8. AI-Generated Content Disclaimer

Our Service uses artificial intelligence to generate analysis, recommendations, and ad copy ideas. You understand that:

  • AI-generated content is provided as suggestions and inspiration, not professional advice
  • We do not guarantee the accuracy, completeness, or suitability of AI outputs
  • You are responsible for reviewing and adapting generated content before use
  • AI outputs should not be used to create misleading, harmful, or illegal advertisements

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

Your use of the Service is at your sole risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESPER INFOTECH PVT. LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Service interruption or computer damage

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

You agree to indemnify and hold harmless Vesper Infotech Pvt. Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content or data you submit to the Service

12. Modifications to Service and Terms

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Update these Terms with reasonable notice (posted on our website)
  • Change pricing, features, or usage limits with advance notice to users

Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Termination

You may stop using our Service at any time. We may suspend or terminate your access if:

  • You violate these Terms
  • We are required to do so by law
  • We discontinue the Service

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (such as limitations of liability) will remain in effect.

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Nashik, Maharashtra, India.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vesper Infotech Pvt. Ltd. regarding your use of FriendlySpy.
